Terms of Service

1. Overview
These Terms of Service ("Terms") govern your access to and use of the JoinxUs platform, websites, mobile and web applications, APIs, and related services (collectively, the "Service"). "Company," "we," "us," and "our" refer to JoinxUs. By accessing or using the Service, you agree to be bound by these Terms.
Note: If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. Definitions
- Organization (Org): A business account within JoinxUs that can include multiple locations and users with role-based access.
- Promoter/Partner: A third party who runs campaigns to drive measurable outcomes.
- Campaign: A program configured by an Org with rules, creatives, and commission settings.
- Conversion: A tracked outcome (e.g., order, booking, appointment) that may require proof and review.
- Payout: A payment to promoters for approved conversions, processed via Stripe Connect.
- Customer Data: All data you submit to or through the Service including Org records, campaign data, and conversion details.
- Documentation: Any usage guides, APIs, help articles and policies provided by us.
3. Eligibility; Accounts & Security
- You must be at least 18 years old and legally able to form a binding contract.
- You must provide accurate account information and keep credentials confidential. You are responsible for activities under your account.
- We may require multi-factor authentication and may suspend access to protect the Service or other users.
4. Organization Structure & Roles
Orgs can assign roles (e.g., Admin, Manager, Auditor, Promoter). Orgs control invitations, permissions, and data visibility. You acknowledge that Org Admins determine access and may modify or revoke roles at any time.
5. Subscriptions, Fees & Taxes
- Billing. Paid plans are billed through Stripe Billing. Prices and features are described at signup or in the Service. Fees are non-refundable unless required by law or expressly stated.
- Changes. We may modify plan features or pricing upon reasonable notice, effective at the next billing term unless otherwise indicated.
- Taxes. Fees exclude taxes (e.g., sales, VAT). You are responsible for all applicable taxes. Where enabled, Stripe Tax may calculate and collect taxes on your behalf.
- Trials. Free trials or beta features may be limited, provided "as is," and can be ended at any time.
6. Payouts to Promoters
- Processor. Payouts are facilitated via Stripe Connect. You must complete onboarding with Stripe and comply with Stripe's terms and applicable law.
- Approval Workflow. Only approved conversions are eligible for payout, subject to campaign rules, caps, clawbacks, and dispute outcomes.
- Reconciliation. Orgs are solely responsible for funding and approving payouts. We are not the payor of record to promoters.
- Compliance. Orgs are responsible for any tax forms, reporting, and KYC/AML requirements relating to payouts through Stripe.
7. Acceptable Use
You will not: (a) misuse, disrupt, or overload the Service; (b) upload unlawful, fraudulent, defamatory, or infringing content; (c) reverse engineer, scrape, or circumvent security; (d) run misleading campaigns or submit fabricated conversions or proof; (e) violate third-party rights or applicable laws (including anti-spam, marketing, privacy, IP, and sanctions laws).
8. Customer Data & Privacy
You retain ownership of Customer Data. You grant us a non-exclusive license to host, process, transmit, and display Customer Data to provide and improve the Service. We process personal data as described in our Privacy Policy. Where required, we will offer a data processing addendum (DPA) covering sub-processors (e.g., Google Cloud/Firebase, Stripe).
9. Integrations, Webhooks & Third-Party Services
- The Service may interoperate with third-party services (e.g., Stripe, analytics, CRM). Your use of third parties is governed by their terms; we are not responsible for their acts or omissions.
- Webhooks and exports may deliver data outside of the Service. You are responsible for securing any endpoints and downstream processing.
- APIs may be subject to rate limits, keys, and usage guidelines; we may modify or suspend APIs for security or performance reasons.
10. Intellectual Property; Feedback
We and our licensors own the Service and all related IP. No rights are granted except as expressly stated. You grant us a perpetual, worldwide, royalty-free license to use feedback to improve the Service without restriction.
11. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked or reasonably should be understood as confidential. The receiving party will protect such information and use it only as necessary to perform under these Terms.
12. Security
We implement measures appropriate to our role as a SaaS provider, including encryption in transit, encryption at rest, RBAC, audit logs, backups, and least-privilege access, as outlined on our Security page. You are responsible for securing your accounts, endpoints, and data you export or expose via webhooks/APIs.
13. Service Changes; Beta Features; SLA
We may update or discontinue features. Beta/preview features are provided "as is," may be unstable, and can change without notice. Any availability objectives or SLAs (if applicable to your plan) will be described in your plan details or a separate agreement.
14. Suspension & Termination
- We may suspend or terminate access for material breaches, security risks, non-payment, suspected fraud, or unlawful activity.
- You may terminate at the end of your current billing term via the billing portal. Upon termination, your access ends and we may delete or restrict access to Customer Data after a reasonable period, except as required by law.
15. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE RESULTS OR ERROR-FREE OPERATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE. OUR AGGREGATE LIABILITY ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
The foregoing does not limit liability for gross negligence, willful misconduct, or amounts that cannot be limited under applicable law.
17. Indemnification
You will defend, indemnify, and hold us harmless from claims arising out of your (a) misuse of the Service, (b) Customer Data, (c) violation of law or third-party rights, or (d) disputes with promoters or other third parties about campaigns, conversions, or payouts.
18. Compliance; Export; Anti-Corruption; Sanctions
You will comply with applicable laws, including export control, anti-bribery (e.g., FCPA), anti-money laundering, and economic sanctions. You may not use the Service in jurisdictions or for entities/individuals prohibited by law or by Stripe's policies.
19. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law. The parties consent to the exclusive jurisdiction and venue of state and federal courts located in Delaware. Each party waives trial by jury to the extent permitted by law.
20. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.
21. Miscellaneous
- Force Majeure. Neither party is liable for delays due to events beyond reasonable control.
- Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
- Notices. Legal notices to us: hello@joinx.us. Notices to you may be sent to your account email.
- Entire Agreement. These Terms and any order forms or addenda are the entire agreement and supersede prior understandings.
- Severability; Waiver. If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
